Terms of Service

These Terms of Service (“Terms”) govern your access to and use of DeskMD, a service operated by Chest LLC (“Chest LLC”, “DeskMD”, “we”, “us”). By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, you may not use DeskMD.
DeskMD is intended for U.S. healthcare practices. Patient calls handled through DeskMD frequently involve Protected Health Information (PHI); a Business Associate Agreement (BAA) is required before any production PHI flows through the service.
1. The service
DeskMD is an AI-powered phone answering service. We provide:
- A dedicated phone number provisioned through our telephony partner.
- An AI receptionist that follows your plain-English instructions, captures structured intake fields, and routes records to your inbox.
- Email and SMS notification dispatch, on-call escalation rules, and recording storage subject to your selected retention.
- An administration application at app.deskmd.ai for managing accounts, providers, escalation, and audit information.
DeskMD is not a substitute for professional clinical judgment, an emergency service, or 911. The AI may instruct callers describing emergencies to call 911, but you remain responsible for clinical triage and on-call coverage.
2. Eligibility and accounts
You must be at least 18 years old, authorized to bind the practice you represent, and located in the United States to register for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3. BAA required for PHI
If you intend to send Protected Health Information (PHI) through DeskMD, you must execute a Business Associate Agreement with Chest LLC before doing so. The BAA is provided to you during onboarding. Until the BAA is signed, your account may not process production PHI; we will block voice runtime access where required to enforce this.
4. Subscriptions, billing, and trial
Plans. DeskMD is sold on a per-licensed-provider, per-month subscription basis. Current published pricing is Standard at $299/provider/month and Pro at $449/provider/month. Annual billing is offered at a 15% discount. Practices with five or more providers are eligible for custom plans negotiated in writing.
Free trial. New accounts may receive a 14-day free trial without a credit card. The trial ends 14 days after account creation; to continue, you must add a payment method and a signed BAA.
Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current price for your plan, unless cancelled at least one day before the renewal date. You may cancel at any time from the billing settings; cancellation takes effect at the end of the current period.
Refunds. Fees are generally non-refundable. We may, at our discretion, issue refunds for billing errors, prolonged service unavailability, or other circumstances we determine warrant a credit.
Taxes. Quoted prices do not include applicable sales tax, VAT, or other taxes. You are responsible for taxes that apply to your subscription.
Failed payments. If a payment fails, we may suspend or downgrade your account until payment is resolved. We will give you notice and a reasonable opportunity to cure.
5. Acceptable use
You agree not to:
- Use DeskMD for any unlawful purpose or in violation of any applicable law (including HIPAA, TCPA, anti-spam laws, or applicable telecommunications regulations).
- Resell, redistribute, or otherwise make the service available to third parties without our written consent.
- Use the service to impersonate another person or organization or to make false or deceptive statements to callers.
- Attempt to access or interfere with parts of the service you are not authorized to use, including other tenants’ data.
- Reverse-engineer or attempt to derive the source code of the service except to the extent permitted by law.
- Generate inbound traffic or call volume that materially exceeds normal patterns for healthcare practices of comparable size, where we reasonably determine the traffic is artificial, abusive, or designed to evade plan limits. We may, after notice and a reasonable cure period, suspend or terminate accounts engaged in such activity.
6. Customer data and ownership
As between you and us, you retain all right, title, and interest in your customer data and any PHI we process on your behalf. You grant us a limited license to use that data solely to provide and improve the service, subject to the BAA, our Privacy Policy, and these Terms. We do not use customer PHI to train AI models. We do not sell customer data.
7. Service availability
We use commercially reasonable efforts to keep DeskMD available. The service depends on third-party providers (including telephony, cloud infrastructure, and AI providers) that may experience outages outside our control. We do not guarantee uninterrupted or error-free operation. Maintenance windows will be announced in advance where reasonably practicable.
8. No medical advice; not 911
DeskMD does not provide medical advice. The AI captures structured intake and may direct callers describing emergencies to call 911. The AI does not diagnose conditions, prescribe medications, or substitute for clinical judgment. You are responsible for clinical decisions, on-call coverage, and emergency response. DeskMD is not an emergency notification system; if you require guaranteed emergency response, you must implement appropriate clinical and escalation processes outside the scope of the service.
9. Intellectual property
DeskMD, the DeskMD name and logo, and all software, content, and materials we provide are owned by Chest LLC or our licensors and are protected by intellectual property law. We grant you a non-exclusive, non-transferable, revocable license to use the service during the term of your subscription. No other rights are granted.
10. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR THE BAA, DESKMD IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED OR ERROR-FREE, OR PRODUCE PARTICULAR RESULTS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHEST LLC, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION (CONTRACT, TORT, OR OTHERWISE).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted.
12. Indemnification
You agree to defend, indemnify, and hold harmless Chest LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) your use of the service; (b) your violation of these Terms or the BAA; (c) your violation of any third-party right, including any intellectual property right, privacy right, or applicable law; or (d) any content or data you submit, post, transmit, or otherwise make available through the service. We will provide reasonable cooperation in defense of such claims at your expense.
13. Termination
By you. You may terminate your subscription at any time from the billing settings. Termination takes effect at the end of the current billing period.
By us. We may suspend or terminate your account if you breach these Terms or the BAA, fail to pay fees, or use the service in a manner that we reasonably determine threatens the security or integrity of the platform or other users. We will provide notice and an opportunity to cure where reasonably practicable.
Effect of termination. Upon termination, your access to the service ends. We will return or destroy PHI in accordance with the BAA, except where retention is required by law.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in Delaware, and you and Chest LLC consent to the personal jurisdiction of those courts. We may, in our sole discretion, elect to resolve any dispute through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules; in that case, you waive the right to participate in a class action or class-wide arbitration.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced to customer-account owners by email and posted at the top of this page with a new effective date. Continued use of DeskMD after the effective date of an update constitutes acceptance of the updated Terms. If you object to a change, your remedy is to cancel your subscription before the effective date.
16. Miscellaneous
Entire agreement. These Terms, together with the BAA and the Privacy Policy, constitute the entire agreement between you and Chest LLC concerning the service.
Severability. If any provision is held unenforceable, the remaining provisions will remain in full force.
Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of substantially all our assets.
Notices. We may give notices through the application, by email to the address on file, or by posting to www.deskmd.ai. You should provide notices to us at legal@deskmd.ai.
